Terms Of Sevrice

These Terms of Service (“Terms”) govern the use of services provided by Vendr (“we,” “our,” or “us”). By engaging with us, you agree to the following:

1. Service Provision

We build and deliver branded WooCommerce websites hosted on our managed infrastructure, which can be transferred to clients upon request.


2. Client Obligations

Clients must:

  • Provide timely content and access as required.

  • Complete all required fields in the onboarding form.

  • Meet agreed payment schedules.


3. Payments and Plans

  • All fees must be paid according to the agreed structure.

  • Maintenance plans are optional but strongly recommended.

  • Add-on services and credits are billed separately.


4. Maintenance Credits

  • Credits are used for site changes as defined.

  • Tiered plans allocate different amounts of credits.

  • Top-up options:

    • ₦2,500 for 5 credits

    • ₦5,000 for 10 credits


5. Support Commitments

  • Standard Support: Response within 4 hours on weekdays.

  • Priority Support: Response within 2 hours, including Saturdays (8am–2pm).

  • Task Resolution: 2–48 hours depending on complexity.


6. Security & Admin Access

  • Admin access is optional. If granted, the client assumes all risk.

  • A Store Owner account is provided for normal use.

  • 2FA (Two-Factor Authentication) is standard on all dashboards.


7. Backups

  • Backups are performed according to the maintenance tier.

  • Free implementation is offered based on the selected tier.


8. Hosting & Transfer

  • Clients receive full access (cPanel, database, etc.).

  • Migration to another host is available upon request.


9. Termination and Cancellations

  • No refunds are issued.

  • Clients who cancel maintenance will no longer receive support under that plan.


10. Marketing Tools

  • Email marketing provided via MailPoet.

  • Clients exceeding 500 contacts are billed separately.

  • SMS campaigns require a separate tool and additional fees.


11. Optional Features

  • A mobile app for managing inventory and products is provided to all clients.

  • A designated store manager can be assigned for an additional fee.


12. Legal Responsibilities

Clients are solely responsible for compliance with local commerce and trade laws.


13. Communication and Boundaries

  • Professional boundaries will be upheld in all engagements.

  • Repeated delays or misuse of services may result in contract suspension.
